Constitution of Valle Verde Animal Rescue

1. Name

The Association’s name is Valle Verde Animal Rescue (Herein after called Valle Verde)

2. Aims

To alleviate the suffering caused to dogs by irresponsible ownership, abuse and neglect in the Granada area and to aim to reduce the social impact of abandoned and un-neutered animals in communities around the Granada area.

3. Objectives

Valle Verde will carry out its purposes/aims through a range of activities and self-help initiatives. The priorities being:

a. To represent and support the work of members of Valle Verde who act on a voluntary basis to care and re-home unwanted, abandoned, stray and ill- treated animals in Granada, Spain.

b. To promote a responsible attitude by members of the public towards the ownership and welfare of animals.

c. To promote a sterilization campaign available at reduced rates for the local pet-owning community in the Granada area and to those of a lower income household.   Additionally, to actively encourage local councils to be more proactive in promoting the benefits of sterilization in their communities.

d. To provide the pet-owning community of Granada, Spain with help and support in accessing affordable veterinary services where possible.

e. To raise awareness amongst the pet-owning community of the benefits of microchipping their pets for identification purposes and the importance of updating these details

f. To advocate changes in the law in pursuance of the association’s purpose

g. To rehome abused, neglected or abandoned animals from the Granada area into safe, loving homes, in or outside of Spain.

h. To rehabilitate traumatized pets and provide safe loving foster environments in which they can continue to develop and progress with a future view to permanent adoption.

i. To maintain campaigns via the media, internet, information leaflets, advertisements etc to promote Valle Verde’s purpose.

j. To promote the work of and assist voluntary sector animal rescue groups and individuals in their campaigns and rehoming intentions.

k. To circulate regular updates to members on Valle Verde’s activities and to organise member conferences and gatherings to encourage a better understanding of current issues and ongoing situations.

4. Powers

In order to carry out Valle Verde’s intentions, the Group have the power to:

a. Raise funds, receive grants and donations;

b. Apply for funds to carry out the work of the ‘not-for-profit’ organization

c. Co-operate with and support other groups/charities with similar purposes

d. Network and build relationships with the private/public sector

e. Promote the association in a positive and professional image

f. Organise courses and events

g. Acquire and manage buildings

h. Do anything that is lawful which will help it to fulfill its aims.

5. Management

a. The Group shall be administered by a Management Committee of the Officers.

b. The Officers of the Management Committee shall be: the President, Vice President, the Treasurer and the Secretary.

c. The Management Committee shall meet at least 3 times a year.

d. The President Or Vice shall Chair all meetings of the Group.

e. Voting at Management Committee meetings shall be by show of hands. If there is a tied vote then the President shall have a second vote.

f. The Management Committee may by a two-thirds majority vote, and for a good and proper reason, remove any Committee member, provided that person has the right to be heard before a final decision is made.

g. The Management Committee may appoint another full member of the Group as a Committee member to fill a vacancy provided the maximum number is not exceeded.

6. Duties of the Officers

a. The duties of the President are to:

• chair meetings of the Committee and the Group

• represent the Group at functions/meetings that the Group has been invited to

• act as spokesperson for the Group when necessary.

b. The duties of the Vice President are to:

• chair meetings of the Committee and the Group in the absence of the Chair person

• assist the Chairperson

• act as spokesperson for the Group when necessary.

• Serve as Chairperson when a motion involving the Chairperson is being discussed

c. The duties of the Secretary are to:

• take and keep minutes of meetings

• prepare the agenda for meetings of the Committee and the Group in consultation with the Chairperson

• maintain the membership list

• deal with correspondence

• collect and circulate any relevant information within the Group

d. The duties of the Treasurer are to:

• supervise the financial affairs of the Group

• keep proper accounts that show all monies collected and paid out by the Group

•Provide an annual audit of accounts

7. Finance

a. Any money obtained by the Group shall be used only for the Group.

b. Any bank accounts opened for the Group shall be in the name of the Group.

c. Any cheques issued shall be signed by the Treasurer and one other nominated official.

8. Annual General Meeting

a. The Group shall hold an Annual General Meeting (A.G.M.) in the month of November

b. The business of the A.G.M. shall include:

(i) receiving a report from the President on the Group`s activities over the year

(ii) receiving a report from the Treasurer on the finances of the Group

(iii) considering any other matter as may be decided.

9. Special General Meeting

A Special General Meeting may be called by the Management Committee or by any full members to discuss an urgent matter. The Committee shall give all members fourteen days’ notice of any Special General Meeting together with notice of the business to be discussed. All members shall be entitled to attend and vote. Decisions will be made by a majority vote.

10. Alterations to the Constitution

Any changes to this Constitution must be agreed by at least two-thirds of those members present and voting at any General Meeting.

11. Dissolution

The Group may be wound up at any time if agreed by two-thirds of those members present and voting at any General Meeting. In the event of winding up, any assets remaining after all debts have been paid shall be given to another Group with similar aims.
